Progress Software is acquiring Domo’s operating platform through an unusual asset transaction rather than buying the entire public company.

What happened

Progress agreed to purchase substantially all of Domo’s operating assets, employees, customer contracts and technology for $400M in cash.

Domo’s listed holding company will remain separate, retaining approximately $246M in net cash and more than $900M of tax-loss carryforwards.

Progress gains Domo’s cloud platform for analytics, data integration, business intelligence and AI-enabled workflows. The structure allows it to acquire the software business without taking on the whole corporate entity.

Why it matters

Enterprise AI depends on trustworthy internal data. Companies may have powerful models, but those models cannot produce reliable decisions if information remains fragmented across applications and databases.

Domo gives Progress a stronger layer for connecting, governing and analysing that data. The deal also shows that mature software assets can be separated from public-company structures when strategic buyers value the product more than the existing capital-market vehicle.

The bigger picture

The enterprise-software market is likely to see more consolidation as companies race to assemble complete AI stacks.

Buyers want data integration, workflow automation, analytics and agent controls in one portfolio. For Domo, the transaction offers an exit for the operating business after years of public-market pressure. For Progress, the challenge will be integrating the platform without disrupting customers or diluting its existing product strategy.
