OPay pulls its $304 million US IPO after a regulatory inquiry

The Nigeria-focused payments company terminated its underwriting agreement before its shares began trading.

OPay pulls its $304 million US IPO after a regulatory inquiry

OPay reached the pricing stage of its US listing, then stopped before trading began. A regulatory inquiry interrupted the planned $304 million offering.

What happened

On 30 October, OPay decided against completing its IPO and mutually terminated the underwriting agreement signed the previous day. Its American depositary shares would therefore not begin trading on the New York Stock Exchange as scheduled.

The Nigeria-focused digital payments company said the inquiry concerned a jurisdiction immaterial to its operations. It did not identify that jurisdiction or explain the inquiry’s substance in its termination announcement. Management said it expected a satisfactory resolution.

Why it matters

A priced IPO can still fail to complete. For OPay, the decision postpones access to the expected public-market capital and liquidity. The $304 million was the planned offering size, rather than proceeds from a completed transaction.

The inquiry also leaves an unresolved question for investors, even with management’s reassurance about the business.

The bigger picture

Cross-border fintech listings bring several regulatory relationships into the same transaction. A future attempt will need both investor appetite and enough clarity on the outstanding inquiry to restart the process.
