AI compute startups are increasingly relying on capital-markets structures, not just venture rounds.
What happened
Nscale is reportedly in talks to raise about $3.5B in pre-IPO funding. The financing could include up to $1.5B of convertible notes and about $2B from Nvidia.
The company owns and operates data centres, GPUs and software for large-scale AI compute, and was reportedly valued at $14.6B in March after a $2B Series C.
Why it matters
AI infrastructure companies need capital at a scale that does not fit ordinary software funding. GPUs, data centres, power access and customer commitments require debt, convertibles, strategic capital and long-horizon infrastructure planning.
Nscale’s reported financing shows how AI cloud providers are becoming a bridge between private venture markets and public-market readiness.

The AI infrastructure market is turning into a race for balance-sheet strength. The companies that can access the cheapest capital and secure enough physical capacity may have an advantage over technically strong startups that cannot finance the buildout.
