EU clears $55B Electronic Arts acquisition

The proposed $55B takeover of Electronic Arts has cleared one European hurdle, but the transaction is not finished. Competition approval and foreign-subsidies scrutiny are being treated as separate questions.

What happened

The European Commission approved the acquisition of Electronic Arts by an investor consortium including Saudi Arabia's Public Investment Fund, Silver Lake and Affinity Partners under standard EU merger rules.

The transaction has been described as the largest leveraged buyout on record. It would place one of the world's largest game publishers under private ownership backed partly by sovereign capital.

A separate review under the EU Foreign Subsidies Regulation remains open, with a decision expected by 30 July. That process examines whether support from a non-EU state could distort competition inside the European market.

Why it matters

Merger approval means regulators did not find the transaction likely to create an unacceptable reduction in competition. The foreign-subsidies review asks a different question: whether state-backed financing gives the buyer an advantage unavailable to ordinary commercial bidders.

The distinction matters as sovereign wealth funds become more active in technology, gaming and media assets.

The bigger picture

Private ownership could give Electronic Arts more freedom to invest beyond quarterly public-market expectations, but the debt associated with a record buyout may also increase pressure on costs, releases and monetisation.

The deal sits at the intersection of gaming consolidation, private equity and geopolitical capital. Final clearance would not only reshape EA's ownership; it would also provide an important test of how Europe applies its newer foreign-subsidies rules to major technology transactions.
